Corporate Shareholder Relations Department

Director:

The main tasks of the department are the following:
  • ensuring compliance by the Company with the requirements of the current legislation, the Charter and internal documents of the Companies, guaranteeing the exercise of the rights and legal interests of shareholders in the preparation and conduct of corporate procedures by the Company;
  • preparation and conduct of meetings and meetings of management bodies (supervisory board, general meeting of shareholders);
  • interaction with shareholders and investors on the issues of investing in the Company's shares in order to attract resources to the authorized capital, organizing circulation of the Company's equity securities;
  • development of the corporate governance practice of the Company in accordance with the interests of its shareholders and other interested parties;
  • ensuring the disclosure (provision) of information about the Company and the storage of documents of the Company;
  • ensuring effective functioning and continuous improvement of the quality of the Company's management system;
  • together with structural subdivisions, execution of decisions of the Company's management bodies;
  • analysis of the effectiveness of the Company's investments in shares of joint-stock companies and the preparation of appropriate proposals for the management of the Company;
  • The functions of the department include the following:
  • organizing the preparation and provision of meetings of the supervisory board, regular (extraordinary) general meetings of the Company's shareholders;
  • planning and implementation of corporate actions related to changes in the size of the authorized capital of the Company;
  • analysis and preparation of proposals for amendments and additions to the Charter and internal documents of the Company;
  • preparation of decisions and prospectuses for the issuance of securities and the implementation of actions related to their registration in the authorized state body;
  • keeping records of the list of affiliates of the Company;
  • holding events for the mandatory disclosure of information about the Company;
  • interaction with the central registrar and investment intermediaries;
  • interaction with corporate consultants;
  • securities market monitoring;
  • development of corporate governance practices in the Company;
  • organization of interaction between the Company and its shareholders;
  • control over compliance with the procedure for using insider information in the securities market;
  • preparation of the Company's responses to requests (letters) of state bodies regarding the activities of the Company's management bodies, corporate management practices in the Company, observance of the rights and legitimate interests of the Company's shareholders;
  • taking actions to acquire and dispose of shares of other joint-stock companies owned by the Company;
  • ensuring compliance with the requirements of state bodies in terms of the Company's compliance with the norms and requirements of corporate law.
